Terms of use

These terms cover your use of BidPaper (the "Service"), operated by BidPaper ("we", "us"). By using the Service you agree to them. If you do not, please do not use it.

1. What the Service is

BidPaper is a browser-based tool for producing estimates, quotes and invoices, together with informational guides and templates. The document builder runs entirely on your device. We do not receive, store or process the documents you create.

2. Your documents are yours

You retain all rights to the content you create. We claim no license over it, because we never receive it. You are responsible for the accuracy of what you put in a document — prices, scope, tax rates, terms and any claims you make to your customers.

Because your documents are stored only on your device, you are responsible for backing them up. We cannot recover them. The Service provides an export function for this purpose and prompts you to use it.

3. Free and paid tiers

Everything is currently free and there is no way to pay us. The free tier is not limited by the number of documents you create, and that is not a trial — it is the intended state.

A paid tier is planned. If and when it exists, it will unlock additional features rather than raise a cap on documents, prices will be shown before purchase, and payment will be processed by Stripe under its own terms. These terms will be updated before that happens.

We may change what is included in each tier, but we will not retroactively make documents you already created inaccessible — they are on your device and remain readable by you regardless of your subscription status.

4. This is not professional advice

The Service, the guides and the templates provide general information only. They arenot legal, tax, accounting or financial advice, and using them does not create a professional relationship of any kind.

Contract terms, tax treatment, licensing requirements, deposit limits, late-fee caps and home-improvement contract rules vary by state and by trade, and change over time. Template wording and default line items are starting points, not compliant documents for your jurisdiction. You are responsible for having your paperwork reviewed by a qualified professional where it matters.

5. Electronic signatures

The Service can embed a typed or drawn signature and a timestamp into a document. This is a record of acceptance and is common industry practice for estimates and proposals. We make no representation that any particular signature satisfies the legal requirements of your jurisdiction or of a particular transaction, and we make no claims regarding lien rights, lien waivers, notarization, or documents subject to specific statutory form requirements. 6. Acceptable use

You agree not to use the Service to:

• Create documents that are fraudulent, or that impersonate another business or person
• Break the law, or infringe someone else's rights
• Attempt to disrupt the Service or gain unauthorized access to any system
• Scrape or bulk-copy the site's content for republication

7. Our content

The site's design, written guides, template layouts and code are ours and are protected by copyright. You may use the templates and the documents you produce with them freely for your own business, including commercially. You may not republish our written guides as your own.

8. Availability

We aim to keep the site up but do not guarantee it. Because the builder runs on your device, a site outage does not take your existing documents away from you — though you will not be able to load the tool until it returns.

9. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.

We take the arithmetic seriously and test it thoroughly — seehow the math works — but you remain responsible for checking any document before you send it to a customer.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, business or goodwill, arising out of your use of the Service — including loss of documents stored on your device.

Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Suspension and termination

You can stop using the Service at any time; there is no account to close. We may block access to the site for anyone breaching section 6, and may withdraw the Service entirely. Because your documents live on your device, losing access to the site does not take them from you — export a backup and they remain readable regardless of what happens to us.

12. If part of these terms fails

If any provision is found unenforceable, the rest stays in force and that provision is applied as closely as the law allows to its original intent. Our not enforcing something immediately does not waive the right to enforce it later.

13. The whole agreement

These terms and the privacy policy are the entire agreement between us about the Service, and replace anything said elsewhere. You may not transfer your rights under them; we may transfer ours if the Service changes hands, on notice posted here.

14. Changes to these terms

We may update these terms. The date at the top shows the last revision, and continuing to use the Service after a change means you accept it.

15. Governing law

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Commonwealth of Virginia, and you consent to their jurisdiction.
